In her business and corporate practice, she provides legal advice regarding general corporate law, mergers and acquisitions, compliance matters, and business licensing matters. She drafts, reviews, and negotiates contracts including master service agreements, supply chain agreements, NDAs, non-compete agreements, teaming agreements, subcontracts, international manufacturing agreements, vendor agreements, purchase orders and agreements, supply agreements, employment agreements, independent contractor/consulting agreements, and commercial real estate leases. She also analyzes, negotiates, and resolves various types of contract disputes.
In her financial and bankruptcy practice, she drafts, negotiates, and enforces credit and loan documents and represents creditors in commercial workouts and restructuring agreements. She is experienced in representing creditors, including healthcare companies and financial institutions in all aspects of Chapters 7, 11, and 13 bankruptcy and has exceptional experience in adversary litigation regarding discharge and dischargeability matters, fraudulent conveyances, and preferential transfers.
Mary Fran also has private sector business experience where she managed legal matters for a federal government contracting business specializing in legal services, law enforcement, and intelligence work. She drafted and negotiated contracts, non-disclosure agreements, vendor agreements, and mentor-protegee agreements as well as drafted the company’s corporate policy. She participated in drafting responses to the federal government’s requests for proposals “RFPs” and analyzed Federal Acquisition Regulations associated with RFPs and government contracts. She also spent time overseeing the legal services for a woman-owned, federal government contracting company.
